These Terms of Service govern the relationship between you (the Client) and D&S Technology, LLC regarding the provision of IT support, technology consulting, managed services, and related products or deliverables we agree to provide.
D&S Technology, LLC agrees to provide technology services which may include, but are not limited to, remote and on‑site troubleshooting, network configuration, security hardening, backup implementation, cloud migrations, procurement assistance, and project-based consulting. The specific scope, timelines, fees, and deliverables will be outlined in a written proposal, statement of work, service agreement, or other document provided to you before or at the time services commence.
Technology environments involve variables outside any provider’s control, including third-party software, hardware failures, vendor outages, and internet connectivity. Estimated timelines for projects or outcomes (such as resolution of a complex issue) are projections, not guarantees. D&S Technology, LLC commits to performing work professionally, communicating clearly, and keeping you informed of material delays or scope changes.
Unless otherwise stated in your agreement or invoice, fees for services, projects, and recurring managed services are due according to the payment schedule we provide. Hardware, software licenses, or third-party subscriptions may be billed separately and may require payment before we place orders on your behalf.
Timely delivery of our services depends on your cooperation. You agree to provide accurate information, reasonable access to systems and premises (as applicable), and prompt approvals when requested. You are responsible for maintaining licenses and accounts with third-party vendors unless we have explicitly agreed to manage those items under a written scope.
Upon full payment of applicable fees, you receive the rights agreed in your statement of work or contract to project deliverables created specifically for you (for example, documentation or configurations). General methodologies, internal tools, templates, and know-how of D&S Technology, LLC remain our intellectual property unless otherwise agreed in writing.
